ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW IN SECTION 23 OR IF YOU OPT OUT. In no case shall SubRewards, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless SubRewards and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

SECTION 21 - SUBREWARDS MEMBERSHIP SUBSCRIPTION TERMS

21.1 Overview of SubRewards

SubRewards is a subscription-based membership program that provides customers with exclusive benefits such as member-only discounts, early access to promotions, and other perks as outlined on our website. To complete a purchase on our site, customers must review and agree to enroll in SubRewards during checkout. SubRewards includes a 30-day introductory period, after which members are billed $49.99 every 30 days. Members receive 50 percent or more off member-only pricing when logged in. After purchase, you will receive access to your membership benefits through a secret collection link provided via your order confirmation.

21.2 Affirmative Enrollment Required for Purchase

To purchase products from our website, you must affirmatively agree to join SubRewards during the checkout process. Enrollment is not automatic and is not pre-selected. You must actively check a box or otherwise acknowledge agreement to the membership terms before completing your purchase. Your agreement at checkout serves as your enrollment in the SubRewards program.

21.3 Subscription Fees and Billing

SubRewards includes a 30-day introductory period, followed by a recurring subscription fee of $49.99 every 30 days. By affirmatively agreeing to enroll in SubRewards during checkout, you authorize us to bill your selected payment method on a recurring basis unless and until you cancel your membership.

Before each billing cycle, including the first one after your 30-day introductory period, we will place an authorization hold on your payment method approximately 2 to 3 days prior to the scheduled billing date. This hold is not a charge. It is used to confirm that sufficient funds are available for the upcoming payment.

You may cancel your membership at any time before the end of the introductory period or before any renewal charge is processed. If you cancel during the 3-day period after a hold is placed and before the charge is finalized, your card will not be billed. The hold will be released and no payment will occur.

Prices and terms are subject to change. If changes are made, we will notify you in advance of your next billing cycle.

21.4 Cancellation and Refunds

You may cancel your SubRewards subscription at any time. You can cancel by clicking "Cancel" in your account portal at https://member.subrewards.com/login or by emailing support@subrewards.com. Cancellation will take effect at the end of your current billing period. If you cancel, you will receive a full refund for your most recent charge. No questions asked.

21.5 Changes to SubRewards

We reserve the right to update or discontinue the SubRewards program, including its benefits, fees, or terms. We will notify you of any updates in advance. Continued participation in the program after changes means you accept the revised terms.

21.6 Limitation of Liability

SubRewards is not responsible for failure to receive membership benefits due to incorrect account information, technical issues, or other factors beyond our control. Membership does not guarantee access to specific offers or promotions.

SECTION 21.7 – REWARDS+ MEMBERSHIP TERMS

21.7.1 Overview of Rewards+ Membership

Rewards+ is a premium, subscription-based membership offered by SubRewards that includes all benefits of the standard SubRewards membership, plus additional enhanced benefits ("Rewards+ Benefits"). Rewards+ is designed for members seeking expanded access, higher-value perks, and priority participation in select offers.

21.7.2 Rewards+ Benefits

Rewards+ benefits may include, but are not limited to:

• All standard SubRewards membership benefits
• Unlimited access to eligible free products, subject to availability
• Ability to place orders without quantity caps on eligible items
• No additional checkout costs on eligible Rewards+ items
• Priority eligibility for premium promotions or special offers

Rewards+ Benefits may vary over time and are subject to product availability, inventory limitations, program rules, and other restrictions determined by SubRewards in its sole discretion.

21.7.3 Eligibility and Access

Access to Rewards+ may be granted through direct enrollment, promotional offers, complimentary upgrades, or other eligibility-based programs as determined by SubRewards. Rewards+ availability is not guaranteed and may be limited.

Members who remain active on the standard SubRewards plan for six (6) consecutive months may become eligible for a complimentary Rewards+ upgrade, subject to availability and program terms.

21.7.4 Pricing and Billing

Rewards+ is billed at $49.99 per week, unless otherwise stated at the time of enrollment. By enrolling in Rewards+, you authorize SubRewards to charge your selected payment method on a recurring weekly basis until canceled.

SubRewards may place a temporary authorization hold prior to billing to verify available funds. Authorization holds are not charges and will be released if no charge is processed.

Pricing, billing frequency, and terms are subject to change with advance notice.

21.7.5 Cancellation and Refunds

You may cancel your Rewards+ membership at any time through your account portal or by contacting support at support@subrewards.com. Cancellation will take effect at the end of the current billing period.

If a charge has already been processed for the current period, refund eligibility will be governed by SubRewards's Refund Policy unless otherwise stated in a specific promotion.

21.7.6 Limitations and Fair Use

Rewards+ is intended for personal, non-commercial use only. SubRewards reserves the right to suspend, limit, or terminate Rewards+ benefits if we determine, in our sole discretion, that usage is excessive, abusive, fraudulent, or inconsistent with the intended purpose of the program.

21.7.7 Changes or Termination of Rewards+

SubRewards reserves the right to modify, suspend, or discontinue Rewards+ or any associated benefits at any time. If Rewards+ is discontinued, affected members will be notified, and no further charges will be applied beyond the current billing period.

21.7.8 No Guarantee of Availability

Rewards+ does not guarantee access to specific products, promotions, or inventory. All benefits are subject to availability and operational constraints.

SECTION 22 - PRODUCT DISCLOSURE

Our products are not prescription medications or peptides. They are formulated using a blend of carefully selected ingredients designed to support overall well-being. These products do not require a prescription and are not intended to diagnose, treat, cure, or prevent any disease. Always consult with a healthcare professional before beginning any new supplement or regimen.

SECTION 23 – ARBITRATION AGREEMENT AND CLASS ACTION WAIVER

23.1 Binding Arbitration

You and SubRewards agree that any dispute, claim, or controversy arising out of or relating in any way to your use of the website, purchase of products, or these Terms of Service shall be resolved by binding arbitration, rather than in court, except that either party may seek relief in small claims court if eligible. This includes any claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitrator shall have exclusive authority to resolve all disputes, including the interpretation and enforceability of this arbitration agreement.

23.2 Class Action Waiver

To the fullest extent permitted by applicable law, you and SubRewards agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, collective, consolidated, or representative action. You expressly waive any right to file or participate in a class action or seek relief on a class basis.

23.3 Opt-Out Option

You may opt out of this arbitration agreement within 30 days of first accepting these Terms of Service by sending an email to support@subrewards.com with your full name and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provisions of these Terms of Service.

23.4 Governing Law and Jurisdiction

This arbitration agreement shall be governed by the Federal Arbitration Act. In the event this agreement to arbitrate is found not to apply to you or your claim, you agree to the exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon.
